Terms of Service

These terms apply to the paid team features of Sprag at sprag.io/team.

Service and scope

  • The Sprag CLI is open source under Apache-2.0. It is free and needs no account. The CLI is governed by its license, not by these terms.
  • These terms apply to the paid team features at sprag.io/team, such as the team dashboard, team rules and Enterprise prompt monitoring.
  • The service is operated by YAML Studio (케이프로샵), whose business details are shown at the bottom of this page.

Orders and payment

  • An order sets the plan (Pro or Enterprise), the number of seats and the number of months. You pay for the whole term in advance.
  • Payments in Korea are processed by Toss Payments. Overseas payments are sold by Paddle.com as the Merchant of Record, and Paddle's buyer terms also apply to customers who pay through Paddle.
  • A company that needs a tax invoice can pay by bank deposit.
  • Prices are the amounts shown on the pricing page. Korean won prices exclude VAT, which is added on the order screen. For overseas payments Paddle adds any sales tax at checkout.

Term and renewal

  • You can use the service for the number of months you paid for. It does not renew automatically.
  • We tell you before the term ends. To extend, place a new order.
  • After the term ends and a grace period passes, new uploads are no longer accepted. The CLI keeps working for free.

Opening the organization

After the payment is confirmed, the operator opens your organization and invites the owner and admins named on the order by email. Everyone signs in with an email code.

Seats

  • One seat is one computer that was active in the last 30 days or was paused with the upload switch. A person's second computer can be merged into the same seat.
  • A computer that would go over the seat limit is refused.
  • To add seats, write to sales@sprag.io. Extra seats are charged for the remaining term, pro rata.

Customer responsibilities

  • The customer (the organization) is responsible for telling its members what is collected and for getting any consent that is required.
  • Only an owner or admin can turn on prompt capture.

Data

How we handle personal data is described in the Privacy Policy.

Changes, suspension and restrictions

  • We may change or suspend the service for maintenance or other operational reasons, and we announce significant changes in advance where we can.
  • We may restrict use if the service is used unlawfully or a payment is not made.

Limit of liability

  • The free CLI is provided "as is" under Apache-2.0.
  • For the paid service, our liability for damages is limited to the amount you paid in the 12 months before the claim. This limit does not apply to damage caused intentionally or by gross negligence.

Refunds

Refunds follow the Refund Policy.

Governing law and contact

  • These terms are governed by the laws of the Republic of Korea. The Seoul Central District Court has jurisdiction over disputes.
